Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of AgentWidgets, a product of SmartMetrics ("we", "us", or "our"), including our website, hosted widgets, and related services (the "Service"). By using the Service, requesting an estimate, or accepting a proposal, you agree to these Terms.

2. The Service

AgentWidgets provides custom and catalog lead-generation widgets that can be embedded on your website, branded for you, and configured to send leads to you or your CRM. Features, pricing, and scope for custom work are defined in your proposal or order.

3. Accounts and eligibility

You must provide accurate contact information and have authority to bind the business you represent. You are responsible for activity under your account and for keeping access credentials secure.

4. Fees and payment

Fees are as quoted in your estimate, proposal, or invoice. Recurring fees continue until canceled according to your agreement. Custom builds may require approval of a scoped quote before work begins. Unless otherwise stated, amounts are due as invoiced and are non-refundable once work or hosting for a billing period has started.

5. Your content and leads

You retain ownership of your branding assets, site content, and lead data collected through your widgets. You grant us a license to host, process, and transmit that content and data as needed to operate the Service. You are responsible for the legality of your widgets' use, including marketing claims, consent, and privacy notices on your properties.

6. Acceptable use

You agree not to use the Service to:

• Violate law, including privacy, spam, or consumer-protection rules
• Collect or process sensitive data without a lawful basis
• Interfere with or attempt unauthorized access to our systems
• Resell or redistribute the Service except as we expressly allow

7. Intellectual property

The Service, including software, designs, and documentation, is owned by SmartMetrics or its licensors. Except for the limited rights granted to use your purchased widgets, no IP rights are transferred to you.

8. Third-party services

The Service may integrate with CRMs, calendars, analytics, or other third-party tools. Those services are governed by their own terms; we are not responsible for their availability or practices.

9. Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE uninterrupted service, specific lead volumes, or conversion rates.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMARTMETRICS AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.

11. Termination

You may stop using the Service and cancel according to your plan or agreement. We may suspend or terminate access if you breach these Terms, fail to pay fees, or misuse the Service. Upon termination, your right to use hosted widgets ends unless otherwise agreed in writing.

12. Changes

We may update these Terms from time to time. Material changes will be reflected by the "Last updated" date. Continued use after changes constitutes acceptance.
